1. Project Fee and Payments
1.1 You agree to pay Faidoe $1,995 per month for services described in clause 2 below. Any additional services beyond the scope of the Project shall be charged separately.
1.2 A non-refundable $1,995 deposit is required to begin working with us. This covers the cost of the first month. The deposit cannot be transferred to other products or services. Your spot with us will be officially reserved just for you once this payment is received.
1.3 Within 5 days of the end of the month, an invoice will be raised for the following month.
1.4 If Faidoe has not provided 20 hot leads within the initial month, Faidoe will continue to run the service at no cost, until the 20 hot leads have been delivered. Once the 20 leads have been delivered an invoice for the next month of Faidoe will be sent.
1.5 If payment for the subsequent month is not received once either the month is finished, or the 20 leads have been delivered (whichever is longer) the service can be paused or terminated.
1.6 If you deem the lead unqualified, you have the right to request a replacement.
2. Scope of the project
2.1 The client is engaging Faidoe to deliver high-quality (hot) leads each month.
2.2 During the course of generating hot leads, Faidoe may also deliver warm leads. Warm lead examples include: interest from a customer but not until further into the future, requesting more information or referring you to a colleague. Warm leads will be delivered free of charge.
2.3 We discussed the scope of the Project with you during our initial telephone / Zoom consultation and we agreed that the Project would include the following:
a. Up to 20 leads per month based on our agreed-upon number.
b. Unlimited contact with your Customer Success Manager to ensure the service is meeting your expectations.
c. Monthly Zoom calls to discuss strategy and direction for the upcoming month.
d. Regular reporting to show details of how the campaign is performing.
3. Client obligations
3.1 As our client, you agree that you will provide us with everything we need to complete the Project. This includes the following:
a. Completed the Online Setup Questionnaire;
b. Relevant Contacts; and
c. Any relevant market research data that would assist me in understanding the industry in which you operate and your target audience.
4. Confidentiality
Any confidential information you share with Faidoe, concerning your business, affairs, customers or clients shall be held strictly confidential.
5. Cancellation
5.1 We reserve the right to cancel this agreement without refunding your deposit if you fail to comply with clause 3 of this agreement.
5.2 You may cancel this agreement at any time.
5.3 On cancellation of this agreement pursuant to clause 5.2: we will continue to run the campaign until all remaining leads that have been paid for, have been delivered.
6. Governing Law and Jurisdiction
6.1 If there is a dispute or claim arising out of or in connection with this agreement, it shall be governed by the laws of Delaware, USA.
6.2 If the parties are unable to settle any dispute amicably, either party may commence court proceedings and shall submit to the exclusive jurisdiction of the Courts in Delaware, USA.
